These Terms of Service (“Terms”) govern your use of the Phynli LLC website (www.phynli.com) and services. By accessing or using our website or services, you agree to these Terms.

If you do not agree, do not use our website or services.


1. SERVICES

Phynli LLC (“Phynli,” “we,” “us,” or “our”) provides operations consulting services, including:

  • Process optimization audits
  • Workflow automation
  • System buildouts (Notion, SuiteDash, Microsoft 365, etc.)
  • Operational consulting and advisory services
  • Digital resources (templates, guides, courses)

Services are provided subject to separate agreements (such as a Master Service Agreement or project proposal) which will include specific scope, deliverables, and pricing.


2. ELIGIBILITY

You must be at least 18 years old and have the authority to enter into contracts on behalf of your business to use our services.

By using our services, you represent that you meet these requirements.


3. USER OBLIGATIONS

You agree to:

  • Provide accurate, current, and complete information when using our forms or services
  • Maintain the confidentiality of any account credentials
  • Notify us immediately of any unauthorized access to your account
  • Use our website and services only for lawful purposes
  • Not interfere with or disrupt our website or services
  • Not attempt to gain unauthorized access to our systems

4. INTELLECTUAL PROPERTY

Phynli Content: All content on phynli.com, including text, graphics, logos, images, videos, and software, is the property of Phynli LLC and is protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, reproduce, distribute, or create derivative works from our content without written permission
  • Use our trademarks, logos, or branding without authorization
  • Reverse engineer or decompile any software or systems we provide

Client Deliverables: Upon full payment, you own the specific deliverables we create for you (custom systems, documentation, etc.).

Phynli retains ownership of:

  • Methodologies, frameworks, and processes used
  • Template systems and tools
  • General knowledge and expertise

Phynli may use anonymized versions of client work for portfolio, marketing, and case studies.


5. PAYMENT TERMS

Pricing: Service pricing is outlined in project proposals or Master Service Agreements. Prices are subject to change with notice.

Payment: Payment is due according to the terms in your service agreement (typically 50% upfront, 50% upon delivery, or 100% upfront).

Late Payment: Payments overdue by 15+ days may incur a 5% late fee. We may suspend services until payment is received.

Refunds: Refund policies are outlined in individual service agreements. Generally:

  • Initial deposits are non-refundable
  • Refunds (if applicable) are prorated based on work completed

6. CANCELLATION

By Client: You may cancel services according to the terms in your service agreement. Deposits and payments for work completed are generally non-refundable.

By Phynli: We may terminate services if you:

  • Fail to pay on time
  • Breach these Terms or your service agreement
  • Fail to provide necessary access or information
  • Engage in abusive or threatening behavior

7. DISCLAIMERS

No Guarantees of Results: While we provide professional services, we do not guarantee specific business outcomes such as increased revenue, time savings, or improved profitability.

Results depend on factors outside our control, including your team’s adoption of systems, market conditions, and business execution.

As-Is Services: Our services are provided “AS-IS” without warranties of any kind, express or implied, except as specifically stated in service agreements.

We do not warrant that:

  • Our services will be uninterrupted or error-free
  • Systems will be compatible with future software updates
  • Third-party tools will continue to function as expected

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

Phynli’s total liability for any claims arising from our services is limited to the total fees you paid for those services.

Phynli is NOT liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Lost profits, revenue, or business opportunities
  • Data loss or corruption
  • Damages resulting from your use or inability to use our services
  • Issues arising from third-party software or services
  • Problems caused by your failure to follow documentation or training

9. INDEMNIFICATION

You agree to indemnify and hold harmless Phynli LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your business operations

10. THIRD-PARTY SERVICES

Our services may integrate with or recommend third-party tools (Notion, Microsoft 365, SuiteDash, Zapier, etc.).

We are not responsible for:

  • The performance, availability, or security of third-party services
  • Changes to third-party pricing, features, or terms
  • Data loss or issues caused by third-party services

You are responsible for reviewing and agreeing to the terms of any third-party services you use.


11. CONFIDENTIALITY

Information shared during our engagement may be confidential. Both parties agree to:

  • Keep proprietary and sensitive information confidential
  • Use confidential information only for the purposes of the engagement
  • Not disclose confidential information to third parties without consent

Exceptions:

  • Information already publicly available
  • Information required to be disclosed by law
  • Anonymized case studies (with your approval)

12. PRIVACY

Your use of our services is also governed by our Privacy Policy, available at: phynli.com/privacy-policy

By using our services, you consent to our collection and use of information as described in the Privacy Policy.


13. DISPUTE RESOLUTION

Governing Law: These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Disputes: Any disputes arising from these Terms or our services will be resolved as follows:

  1. Good-Faith Negotiation: Parties will first attempt to resolve disputes through direct communication
  2. Mediation: If negotiation fails, parties agree to mediation in Tarrant County, Texas
  3. Arbitration: If mediation fails, disputes will be resolved through binding arbitration in Tarrant County, Texas in accordance with the rules of the American Arbitration Association

Exception: Either party may seek injunctive relief in court to protect intellectual property rights.


14. MODIFICATIONS

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to phynli.com with an updated “Last Updated” date.

Continued use of our services after changes constitutes acceptance of the modified Terms.

We will make reasonable efforts to notify you of material changes via email or website notice.


15. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.


16. ENTIRE AGREEMENT

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Phynli regarding use of our services.
